1. Engagement Framework

These Terms & Conditions ("Terms") govern all professional consulting, statutory filing, cross-border tax defense, and IT system design services provided by Affluent Biz Consulting Private Limited ("ABC", "we", "us", "our") to our clients. By signing our engagement letter, retaining our services, or utilizing this website, you explicitly agree to align with these Terms.

Specific project milestones, professional fee structures, and precise scopes of work are separately governed by individual signed Engagement Letters, which override these general Terms in case of conflict.

2. Professional Advisory Boundaries

We provide licensed professional advice spanning corporate law (ROC), Indian and US federal tax codes (through our CPA and EA credentials), and custom digital platforms & UI/UX design. However, you understand that:

• Advisory recommendations are based strictly on data and documents provided voluntarily by you. We do not perform forensic audits to verify document authenticity unless explicitly contracted.
• Final business growth, capital fundraising, and investment decisions remain the sole operational responsibility of your corporate board.
• Tax code interpretations represent our professional judgment under active statutes. Final audit decisions rest with respective sovereign departments (Income Tax Department, IRS).

3. Client Responsibilities

To deliver precise compliance and tech structures, you agree to:

• Provide accurate, complete, and timely records, bills, ledgers, and credentials. Delays in document handovers may result in delayed statutory filings or missed tax timelines.
• Ensure all business operations, cap tables, and revenue streams maintain lawful and compliance-oriented frameworks under Indian and federal jurisdictions.
• Securely transmit all documents using our secure client file portal. We are not responsible for data breaches resulting from clients sending sensitive records over unsecured personal channels (e.g. personal SMS, untracked messaging apps).

4. Technology Deployment & Access

When you contract our IT Consulting practice to engineer custom platforms, configure wireframes, or build responsive frontend UI/UX systems, you grant us permission to access your staging environments. Upon project completion, deployment validation, and live handover, it is your absolute responsibility to immediately change all administrator passwords and revoke temporary developer access tokens. We carry no liability for operational platforms once formal handover is signed.

5. Intellectual Property

All core frameworks, proprietary spreadsheets, custom compliance scripts, database schemas, and corporate timeline methodologies developed by us remain the intellectual property of ABC. Clients receive a perpetual, non-transferable, royalty-free license to utilize these specific deliverables within their corporate entity.

6. Limitation of Liability

To the maximum extent permitted by applicable laws, our cumulative liability for any professional errors, omissions, or system deployment delays shall be strictly capped at the total fee paid to us by the client under the specific Engagement Letter during the three (3) months preceding the incident.

7. Governing Law and Jurisdiction

These Terms shall be governed, interpreted, and enforced strictly under the laws of the Republic of India. Any legal disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Ghaziabad, Uttar Pradesh, India.
